A Transition Service Agreement can de-risk & accelerate the transition period
A Transition Services Agreement (TSA) is a legally binding document that sets out the terms for a seller to continue running or supporting a purchased business unit during a transition phase.
TSAs accelerate the negotiation process and financial close, allowing the deal to move forward without waiting for a buyer to assume full responsibility for the target business unit.
They are most often used in divestitures and carve-outs when the buyer lacks the immediate capacity to support the business on its own. The buyer may need additional time to integrate the business within its own finance, HR, legal, and IT environments.
